This Software License and Terms of Service Agreement ("Agreement") is between the user ("You" or "Your") and SoniVu ("We", "Us", "Our"). By downloading, installing, or using SoniVu ("Software"), You agree to be bound by the terms of this Agreement.
Your use of the Software constitutes Your acceptance of this Agreement and Your agreement to be bound by its terms and conditions.
We grant You a non-exclusive, non-transferable license to use the Software for personal, non-commercial purposes, subject to the terms and conditions of this Agreement.
All rights, title, and interest in and to the Software, including but not limited to copyright and intellectual property rights, are owned by Us or Our licensors.
You agree to use the Software in compliance with all applicable laws and not for any unlawful purpose.
The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.
To the maximum extent permitted by applicable law, in no event shall We be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever arising out of the use of or inability to use the Software, even if We have been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless Us and our affiliates, officers, agents, and employees from and against any claims, losses, damages, liabilities, including legal fees and expenses, arising out of Your use of the Software or Your breach of this Agreement.
This Agreement is effective until terminated by You or Us. We may terminate this Agreement at any time without notice if You fail to comply with any term or condition of this Agreement. Upon termination, You must destroy all copies of the Software.
We reserve the right to amend this Agreement at any time. If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect.
This Agreement shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.
